Trademarks, Copyrights & Project Names & likeness All names, logos, images, audio, videos, ideas, plans, details, trade secrets, events, images, certain financials, technical information, partners, research and project names and productions are the exclusive property of the PC Debit Card LLC.
Confidentiality: You are being furnished-with and you are receiving access to information which relates to the PC Debit Card LL Inc. past, present or future products, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives you an opportunity to acquire or use our and our partner’s ("Proprietary Information").
You agree to preserve and protect the confidentiality of the Proprietary Information and all physical forms thereof, whether disclosed to you before this Agreement is signed or afterward. In addition, you shall not disclose or disseminate the Proprietary Information to any third party and shall not use the Proprietary Information for your own benefit or for the benefit of any third party.
Forwarding, Copies or Reproduction of the PC Debit Card Materials are Strictly Prohibited.

LOI - Letter of Intent
This Consent Form serves to confirm that your organizations consent to allow the PC Debit Card, LLC to present your organization as a subscribing member of the PC Debit Card. Funds will be accessible to your organization after successfully registering 30 corporate service providers within your specific region or demographic.

The Letter Of Intent (LOI) does not legally bind, obligate, or intimate any type of binding agreement, partnership, or joint-venture. Neither is either party subject to deadlines, amounts, or commitments until members and corporate service providers are onboarded, and the contract detailing the exact amount your organization qualifies for is finalized and signed. The awarded amount is contingent upon your organization meeting all specified PC Debit Card, LLC requirements, and its promotions partner Carolina Media Arts Centers supporting you throughout this process.

The Carolina Media Arts Center will not represent your organization in any purchasing contracts or obligations with corporations; our role is to connect both parties through our PC Fintech Product.
MOU - Memorandum of Understanding
This Agreement is made on the date specified in this form by (YOUR ORGANIZATION), The Carolina Media Arts Center LLC, and PC DEBIT CARD LLC.
This Agreement supersedes, replaces, and nullifies any previous oral or written agreements made with any executives or staff members involved in this or any other project.
WHEREAS, (YOUR ORGANIZATION) substantial knowledge, experience, and resources relevant to the demographic and industry of (YOUR) business or organization to deliver the services or products described in your membership application.
WHEREAS, the parties wish to combine and collaborate their respective expertise and resources to provide funding, communications, business, marketing, and support for small and nonprofits.
The parties will work together under the name of PC Debit Card. The parties agree to collaborate on the aforementioned projects, acknowledging that the primary goal is to economically strengthen the community by providing funding and development services for local small businesses and nonprofits.
Both parties will conduct all activities with the utmost integrity, excellence, and fairness for all community members.

PAYMENTS and SERVICES: In exchange your membership selection, payment, LOI, NDA, MOU, and Consent to use the Subscriber Pool, your organization will receive the funding, communications, and business services specified in your membership.

Grant of Rights

The undersigned ("Subject") hereby grants to the PC Debit Card and the Carolina Media Arts Center, its agents, and assigns, the irrevocable, perpetual, worldwide right to use, publish, and reproduce the Subject's name, voice, likeness, photograph, and biographical information (collectively, "Likeness") in all media formats now known or hereafter developed (including print, digital, and video).

This Likeness may be used for advertising, marketing, publicity, trade, and any other lawful business purposes in connection with the PC Debit Card and the Carolina Media Arts Center.

Compensation and Release

Subject understands and agrees that no compensation, including royalties, is due for this usage. Subject releases the Company from any claims, including those for defamation, invasion of privacy, or violation of rights of publicity, arising out of the use of the Likeness.

Subject waives any right to inspect or approve the finished product, including written or electronic content, wherein the Likeness appears.

Signee warrants that they are over the age of 18 and have the legal capacity to sign this agreement.

CONSENT - SUBSCRIBER SHARING
**Reminder:** PC Network members receive funds based on their spending and communication activities.
**Purpose of the PC Subscriber Pool:** The aim is to ensure that all podcasts are professionally branded, filmed, and effectively promoted to their respective audiences, with additional cross-promotion as necessary. It also ensures that each podcaster receives their equitable share of network revenue based on their organization's community contributions and spending.
**ABOUT THE SUBSCRIBER POOL** Each podcaster's subscriber and advertising revenue is combined with that of all 500 podcasters. Revenue is distributed based on the size of your organization or project and the operational budget you provided.
Payouts occur on the 31st of every month.
Subscriptions and advertisements are generated for both individual podcasts and the Network as a whole. You will receive the greater amount between your individual revenue and your share of the pooled revenue when calculations are made.
You will receive daily updates on both your individual revenue and the Network Shared Pool Revenue.

CONSENT - IMPACT 5024
By Checking the Impact 5024 Five Year Assement Box, you are consenting to the filming and documentation processes over the next five years as outlined below.
Five-Year Impact Assessment
This assessment covers 12 groups consisting of 50 organizations circulating $24 million across their region to tackle specific community challenges.
Each organization will provide weekly updates on their challenges and successes through their video podcasts and the Communications and Data Management teams will track the spending patterns of the groups in collaboration with corporate service providers, vendors, advisors, suppliers, media, and tech teams.
All organizations will receive "day-in-the-life" video documentaries of their operations and their Corporate Success Teams.
​​PROJECT SUMMARY
​
​(1) Six hundred organizations are being selected and grouped in sets of fifty by industry verticals to establish their “Dream Success Team” who will assist them in successfully addressing a specific community challenge as we assess the new PC Fintech for its effectiveness in fair fund acquisition and distribution across concentrated regions.

(2) Organizations participate to receive funding and services for using the PC Fintech Platform

Each organization receives between $18,000 and $120,000, or up to $2–$4 million dollars (annually), based-on their financials and operational budgets.

Each will establish a “Success Team” of vendors, suppliers, advisors and service providers.

(3) Funding for the PC Fintech
comes from groups of thirty corporate service providers, who pay 7% ($80,000 per $1 million spent) for multi-year guarantee contracts with the groups of 50-600.
